The Fresno Builders Exchange (the “Exchange”) believes and understanding its records, particularly the list of Exchange members (“Membership List”) to be private, not readily accessible, and property of the Exchange. Only through the Exchange’s stable existence over an extensive period has the Membership List become completely and fully developed. Further, the Membership List contains information that may be considered “special and peculiar” to the Exchange and Exchange members.
As a result, the Board of Directors has approved the following rules:
The membership information is private, the use of which should be limited to conducting corporate affairs, not commercial or private solicitation for business affairs unrelated to business of the Exchange.
The information regarding membership including, but not limited to, the Membership List, constitutes a “trade secret.”
The information regarding membership must be maintained in strict confidence and not disclosed to others without express written authorization from the Exchange’s Board of Directors.
In information regarding membership will not be misused, misappropriated, or disclosed in writing, orally, or by electronic means, directly or indirectly, to any other person, either during the term of membership or at any other time thereafter.
The sale or unauthorized use of information regarding membership – including, but not limited to direct or indirect competition with the Exchange – or disclosure in writing, orally, or by electronic means, of any information regarding membership obtained by a member of the Exchange during membership constitutes unfair competition.
All files, documents, drawings, specifications, equipment, software, and similar items, whether maintained in hard copy or in electronic form, relating to the Exchange’s business, whether prepared by a member of the Exchange or others, are an will remain exclusively the property of the Exchange and such information will be removed from the Exchange’s premises or, if kept in electronic form, from the Exchange’s computer systems only with the express prior written consent of Exchange’s Board of Directors.
